Commercial and Corporate LawThe Commercial and Corporate Law Department coordinated by Rita Beirôco comprises a team of specialists in the areas of commercial, corporate and data protection law.
Geared towards advising Portuguese and international companies and groups, Espanha e Associados has an experienced qualified team to assist its clients in every aspect of their activities and in all corporate matters.
The team establishes lasting partnerships with their clients, assisting them in their business projects and actively participating at every implementation stage of each operation – design and restructuring, conducting audits, drafting and negotiating contracts and all the relevant documentation. For these projects the team works closely with other departments at the firm – tax, labour and civil in particular – as well as with the client and its consultants (financial advisers, accountants, auditors).
The key work done by the team has been in corporate restructuring, M&A and demergers. It has also been involved in internationalising the businesses of its national clients and advising foreign clients on investing in Portugal.
The department is also focused on the specific activity of each client, providing advice on the design, implementation and development of the business, on the drafting of shareholders’ agreements, on the relations between shareholders and company directors, and on the implementation of corporate governance principles.
The team is also experienced in drafting commercial contracts, particularly agency, distribution, franchising and concession contracts.
Espanha e Associados has also been actively involved in data protection matters, which hold particular relevance for companies today given the massive potential contingencies.
