09 January, 2025Order No. 6-C/2025/1 of January 6 introduced the free and automatic certification of the powers of administrators, managers, and directors through the Professional Attributes Certification System (SCAP).
This certification applies to the scope of public limited companies, limited liability companies, single-member limited liability companies, and cooperatives.
Therefore, starting from January 7, 2025:
- The attribution of business attributes will be automatic and free of charge, carried out at the time of the final registration of the appointment, with the provision of an electronic certificate to the entity’s representatives.
- Administrators, managers, and directors will be able to authenticate themselves and sign documents electronically using their Citizen Card or Digital Mobile Key.
The digital signature with business attributes for administrators, managers, directors, and proxies can be used to sign electronic documents in the following actions:
- Signing of contracts with entities supplying electricity, water, gas and services telecommunications;
- Signing of contracts with other suppliers, with the limit to be set by the corporate bodies;
- Conclusion of employment contracts;
- Formation and execution of public contracts, within the scope of public procurement;
- Presentation and execution of applications for financing with the limit to be set by the corporate bodies;
- Presentation and execution of applications for national or community funds;
- Opening and operating bank accounts;
- Signing of minutes and deliberations of corporate bodies;
- Receipt and collection of postal correspondence;
- Signing electronic invoices;
- Request acts of registration and registration of the beneficial owner.
Authentication with certification of the quality of administrator, manager, or director can also be used for receiving citations and notifications via electronic means.
This Order came into force on January 7, 2025.
